Terms of Service

Agreement

By using this website or working with OhDigital LLC, you agree to these terms. If we sign a separate project agreement or proposal with you, that document governs the specifics of your engagement and takes precedence where it differs from these terms.

Estimates and quotes

Any estimate generated on this site is a high level ballpark, not a binding quote. Final pricing is confirmed in a written proposal after we understand your scope. Estimates can change as scope changes.

Payments

Project fees, milestones, and schedules are set out in your proposal. Invoices are due by the date shown. Late or missed payments may pause work until the account is current.

Your responsibilities

To keep projects moving, you agree to provide timely feedback, approvals, content, and access (such as accounts or assets) that we need to do the work. Delays on these can shift timelines.

Intellectual property

Once a project is paid in full, the final deliverables we create for you are yours. We may retain rights to underlying tools, code libraries, and techniques we reuse across clients, and we may show the work in our portfolio unless we agree otherwise in writing.

Client portal

The client portal is provided to help you track your project. You are responsible for keeping your login secure. We may update or change portal features over time.

Warranties and liability

We deliver our work with professional care, but the site and services are provided “as is” without warranties of any kind. To the fullest extent allowed by law, OhDigital is not liable for indirect or consequential damages, and our total liability is limited to the amount you paid us for the work in question.

Termination

Either party may end an engagement as described in the project agreement. You remain responsible for payment for work completed up to that point.

Governing law

These terms are governed by the laws of the State of Florida, where OhDigital LLC is organized, without regard to conflict of law rules.
